This agreement is a bit unique compared to other types of agreements. This agreement is characterized by the presence of one party (usually a principal company) that designates the other party as the exclusive distributor to market and sell the product in a given region, and that other party is ready and accepts the appointment of that first part. Exclusive rights are privileges granted by the awarding entities of domestic commercial enterprises as exclusive intermediaries or exclusive distributors. G. The obligations of the recipient party under this section 6 remain in the event of termination or non-renewal of that contract for a period of [number of years] of years. In order to avoid any doubt, lists of customers and distributor negotiators are considered protected information under this agreement. The manufacturer`s adjudicating entity is a physical or commercial entity, in the form of a legal or non-legal person, which, as a manufacturer, appoints a commercial entity other than the representative, exclusive representative, distributor or exclusive distributor to conduct sales of products and/or services in possession/controlled. g. Full agreement. This agreement contains the entire agreement between the parties with respect to the proposed transactions and replaces all previous written and oral agreements as well as all concurrent oral agreements relating to these transactions. The company manufactures and markets the products listed in Section 1 .c (the “products”).

The distributor wishes to acquire the products from the company for resale in the areas or geographical areas covered in Section 1.b (the “territory”). The company wishes to appoint distributors as the exclusive distributor of products in the territory, and the distributor wishes such an appointment under the terms of this agreement, including all parts or schedules attached to them. The other thing is about the selling price of the product. Before marketing, the contracting parties must first agree to determine the selling price of the product in accordance with each product transaction.
